Throughout the life of a company, there is sometimes need to change the shareholders or owners in the company. The reasons for this are varied from bringing in new investors to someone retiring who wishes to sell their shares.
Changes in shareholding can happen through two methods:
- Allotment of Shares
- Transfer of Shares
An allotment of shares is when you issue new shares to a new shareholder, whereas a transfer of shares is where existing shares in the company are transferred from one shareholder to another.
For an allotment of shares we would:
- Prepare Board Minutes
- Prepare EGM Minutes
- Prepare and file Resolution
- Prepare and file statutory CRO forms
- Update statutory company registers
- Present new shareholder with share certificates
For a transfer of shares we would:
- Prepare Board Minutes
- Prepare EGM Minutes
- Assess if any stamp duty is payable
- Prepare and file stock transfer forms
- Prepare and file mandatory revenue forms
- Update statutory company registers
- Present new shareholder with share certificates
